1. Introduction

These Terms and Conditions ("Terms") govern the access and use of all services, features, content, and functionalities offered by akirolabs GmbH ("akirolabs," "we," "us," or "our") via our website and other affiliated platforms. By accessing or using our services, you agree to these Terms and acknowledge the applicability of our Privacy Policy.

2. Definitions

• "User": Any individual or entity accessing or using the akirolabs platform.
• "Agreement": The contractual arrangement based on these Terms, including any relevant order forms or SOWs.
• "Services": All SaaS platform functionalities, analytics, and consulting services provided by akirolabs.
• "Customer Data": All data input or transmitted by the user while using the Services.

3. Eligibility and Account Registration

Users must be authorized representatives of a legally registered enterprise and must not be a natural person under the age of 18. Access is granted solely for professional, business-related use. Each customer must designate at least one authorized administrator.

Users agree to:

• Provide truthful, current, and complete account information
• Maintain the confidentiality of login credentials
• Notify akirolabs of unauthorized access or data breaches

4. Scope of Services

akirolabs offers a modular, quote-based software-as-a-service (SaaS) product tailored for enterprise-level strategic procurement workflows. Our offerings include strategy co-pilots, workflow orchestration, analytics, and integration with third-party systems.

All Services are governed by the commercial terms agreed upon via written quote. The Services do not include any free trials.

5. Fees, Billing & Payment

akirolabs provides Services on an annual billing basis, with subscription terms negotiated individually via quote based on the size and revenue of the client organization.

• All fees are exclusive of applicable VAT or taxes
• Payments are due in full within 30 days of invoice
• Non-payment may result in service suspension
• Pricing may be revised annually; customers will receive at least 30 days’ notice

6. Intellectual Property

All intellectual property associated with the akirolabs platform, including content, algorithms, user interface design, and documentation, remains the exclusive property of akirolabs.

Users retain ownership of their own data but grant akirolabs a license to use anonymized, aggregated insights for improving services and generating industry benchmarks.

7. Use Restrictions

Users agree not to:

• Use the Services for unlawful purposes or to transmit harmful content
• Reverse-engineer, decompile, or tamper with the platform
• Introduce viruses, malware, or other malicious code
• Interfere with system integrity or security
• Permit third-party use without written consent from akirolabs

8. Service Availability

akirolabs shall use commercially reasonable efforts to ensure 99% annual uptime. Maintenance windows will be communicated in advance. Emergency maintenance or outages due to force majeure events (e.g., internet service failures, natural disasters) are excluded from this uptime commitment.

9. Data Protection & Confidentiality

akirolabs complies with applicable data protection regulations, including the GDPR. All processing of personal data is governed by our Data Processing Agreement (DPA), which forms an integral part of these Terms.

Both parties agree to:

• Treat all confidential information disclosed during the course of the Agreement as strictly confidential
• Limit access to such information only to personnel with a legitimate need-to-know
• Return or delete confidential information upon termination, unless otherwise required by law

10. Warranties & Disclaimers

akirolabs provides its Services "as is" and "as available." While we strive to ensure high availability and data accuracy, we do not warrant:

• That the Services are error-free, uninterrupted, or secure
• That all functionalities meet every specific business requirement

To the maximum extent permitted by law, akirolabs disclaims all implied warranties, including merchantability and fitness for a particular purpose.

11. Limitation of Liability

akirolabs shall not be liable for indirect, incidental, or consequential damages, including lost profits or data, even if informed of the possibility.

Our total liability shall not exceed the amount paid by the customer under the Agreement in the 12 months preceding the event that gave rise to the claim.

These limitations apply regardless of the form of action, whether in contract, tort, or otherwise, except where prohibited by applicable law.

12. Term and Termination

• Subscription terms are annual and renew automatically unless terminated with 90 days’ notice
• Either party may terminate the Agreement for cause, including breach of material terms
• Upon termination, all access to Services will cease, and outstanding fees become immediately due

13. Amendments

We may update these Terms with 30 days’ written notice. Continued use of the Services following such updates constitutes acceptance. In cases of material adverse changes, customers may terminate within 14 days of receiving notice.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of Germany, without regard to its conflict of laws principles. Where permissible, exclusive jurisdiction lies with the courts of Berlin.

For users in the UK or US, we will comply with local laws applicable to the Services in those jurisdictions and may supplement this Agreement accordingly.

15. Miscellaneous

• Entire Agreement: These Terms and any executed quote represent the entire agreement
• Severability: If any provision is found invalid, the rest remain enforceable
• Waiver: Failure to enforce any right is not a waiver of future rights
